Moksha LLC operates as a global sourcing, procurement, and project execution partner, delivering end-to-end solutions from specification through delivery. We manage supplier sourcing and coordination, manufacturing oversight, quality control processes, and logistics and delivery execution. Moksha serves as the single point of accountability across the supply chain, ensuring alignment, performance, and delivery outcomes for each project.

Scope of Services

Services may include FF&E procurement and sourcing, vendor selection and negotiation, manufacturing oversight, logistics coordination and delivery, and quality inspections. All services are project-specific and subject to separate agreements, proposals, or purchase orders.

Website Use

You agree not to use this website for unlawful purposes, attempt to disrupt or hack the site, or copy or reuse content without permission. We may suspend or terminate access at any time without notice.

Proposals, Pricing & Acceptance

All quotations are confidential and non-binding. Pricing is subject to change due to material cost fluctuations, exchange rates, and freight and duty changes. A binding agreement is only formed when a contract is signed, or Moksha provides written acceptance of an order.

Payment Terms

Unless otherwise agreed, deposits will be required before production begins and balance payments will be due prior to shipment or delivery unless agreed upon in advance. Late payments may incur interest and delay services. Moksha reserves the right to suspend work, withhold shipment, or cancel orders for non-payment.

Manufacturing & Product Disclaimer

Moksha works with a global network of vetted manufacturing partners to deliver project-specific goods. While Moksha oversees sourcing, quality control, and execution, products are manufactured to agreed specifications and industry standards. Variations in materials, finishes, or dimensions may occur within commercially acceptable tolerances. Samples, mockups, or renders may not represent exact final production outcomes. Moksha ensures coordination and quality oversight but does not guarantee absolute uniformity across production batches.

Quality Control & Inspection

Moksha may perform inspections as part of its services. Such inspections are reasonable efforts, not guarantees. Clients are responsible for final inspection upon delivery and verifying specifications and quantities.

Shipping, Delivery & Risk Transfer

Delivery timelines are estimates only. Delays may occur due to global logistics conditions. Unless otherwise agreed, risk transfers according to agreed Incoterms (e.g., FOB, CIF, EXW) and title and risk may transfer before final delivery. Moksha is not liable for shipping delays, customs clearance issues, or third-party carrier failures.

Claims & Defects

All claims must be submitted in writing, include supporting documentation (photos, reports), and be made within 14 days of delivery unless otherwise agreed. Failure to notify within this period constitutes acceptance of goods.

Returns, Refunds & Cancellations

Due to the nature of global sourcing, custom or made-to-order goods are non-returnable and orders cannot be canceled once production has started. If cancellation is accepted, the client is responsible for all incurred costs including manufacturing, materials, logistics, and administrative fees.

Intellectual Property

All website content and materials remain the exclusive property of Moksha, LLC. Unauthorized use, reproduction, or distribution is prohibited.

Confidentiality

Both parties agree to keep confidential all pricing structures, supplier relationships, business processes, and project details. This obligation survives termination of the relationship.

Limitation of Liability

To the fullest extent permitted by law, Moksha shall not be liable for indirect or consequential damages, loss of profits or revenue, or project delays or business interruption. Maximum liability is limited to the total amount paid for the specific project or order.

Indemnification

You agree to indemnify and hold Moksha harmless from any claims, damages, or liabilities arising from your misuse of services, your project specifications, or third-party claims related to supplied goods.

Force Majeure

Moksha is not liable for delays or failure caused by events beyond reasonable control, including natural disasters, war or political instability, pandemics, supply chain disruptions, and labor shortages.

Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of Georgia, USA. Any disputes shall be resolved first through good faith negotiation, then through binding arbitration in the state of Georgia, unless otherwise agreed.

Changes to Terms

We may update these Terms at any time. Continued use of our website or services constitutes acceptance of the updated Terms.
